Edward Lehman

 

Edward Lehman co-founded LehmanLaw Mongolia LLP in 1996. LehmanLaw is the first international law firm in the Republic of Mongolia and the first law firm to have an intellectual property practice in the country.

Mr. Lehman advises clients on resource project development, land issues, project finance, and compliance on mining and minerals law. He has extensive experience in advising Fortune 500, private equity, venture capital, and large private multinational corporations in various matters including: investigations (fraud, corruption, and Foreign Corrupt Practices Act); mergers and acquisitions (including merger controls); reorganizations; construction (Greenfield); employment; technology and licensing. He has advised clients across a broad array of industry sectors including: minerals, mining, franchise; NGO’s, chemical; infrastructure, construction; food and beverage; insurance; medical device; multi-level marketing; pharmaceutical; publishing; media and entertainment; real estate; and retail.

Mr. Lehman is experienced in natural resources, environmental, and real property law. His practice includes counselling on permitting, compliance, complex transactions and dispute resolution, mediation, arbitration, and litigation at all levels of the Courts of Mongolia.

Through his hands-on experience he has gained a working knowledge of facilities and operations in different industries, including the mining, milling, smelting, and refining of ores and minerals (both primary and secondary processing), and a wide range of manufacturing industries.

Mr. Lehman’s practice extends to private equity, venture capital, and international financing, particularly relating to mineral and energy development. He has experience in negotiating and preparing exploration agreements; international joint venture and consortium agreements; stability agreements and tax analyses; pre-feasibility and feasibility studies; environmental impact assessments to ensure compliance with Mongolian and international requirements; financial instruments; construction and engineering contracts; and project development documents.

Mr. Lehman advised on the Ivanhoe Capital Corporation and Ivanhoe Mines Ltd. project and worked as part of the team of professionals who planned, counsel, negotiate, and document the investment agreements entered between Ivanhoe Mines Ltd, Ivanhoe Mines Mongolia LLC, Rio Tinto PLLC and the government of the Republic of Mongolia and third-party financial institutions. Mr. Lehman and his team continue to advise to define and regulate the relationship for the construction and development of the Oyu Tolgoi mine the largest financial undertaking in Mongolia’s history.

Over decades, Mr. Lehman has successfully counseled clients concerning and provided legal opinions regarding Intellectual Property Law, the Strategic Entities Foreign Investment Law, the Investment Law, the Petroleum Law, the Minerals Policy, Minerals Law, the Concessions (Public Private Partnership) Law, the Labor Law, the Securities Market Law, as well as other laws, policies and regulations concerning investment and doing business in the Republic of Mongolia.
